Directors hold meetings on an ad-hoc basis when an issue arises that cannot be resolved in an Operations Meeting. Circumstances may involve a complaint or feedback that needs more careful consideration and/or requires sensitive handling.
Operations meetings relieve the pressure on directors' meetings and in addition, directors have access to the private Slack group as a further option for resolving issues. Access to the Slack group will be given when a new director starts in their role.
If any one of the directors feel a meeting is required, post in the directors only group on Loomio and make sure to notify the relevant people with the 'Directors' group selected. Begin a discussion with the topic and use this opportunity to plan a day for the meeting. Loomio is preferred for this over the directors Slack group as Slack is tricky to garner timely engagement.
There is no agenda required for directors' meetings.
Occasionally at GMs, the outcome is that directors should have the final vote on an issue - in which case a meeting would be beneficial to complete this process.
When informing members of the outcome of a meeting, best practice is to consider whether sharing is appropriate depending on the content. Directors can discuss sharing on a case-by-case basis at the meeting.
