Directors are another type of member and it is their duty to manage the business and exercise the powers of the Co-op. A minimum of 3 and a maximum of 8 directors are needed to be on the Board and their composition must reflect membership of the Co-op. "The Board of Directors" or "Board" means all those persons appointed to perform the duties of directors of the society.
They are to ensure that accurate registers are maintained of members, directors, facilitators, coaches and officers. The Board of Directors may also co-opt up to 2 external independent non-member directors for a fixed period determined by them.
It is our goal to have enough directors so that not all need to attend all meetings, but instead can take it in turns.
Notes
In all of the descriptions of the various director roles, it often states something like “Make sure that X happens” or “Coordinate X”. This doesn’t mean that one individual personally needs do all the work entailed. It means they should try to ensure that the thing gets done somehow, and if this proves difficult / impossible then to feed back via the Operations meetings so that a solution can be brainstormed.
Getting ongoing support:
Ask at the operations meetings
Message someone either privately or on group chats relating to the work. This can be done on Loomio or Slack.
Read up on relevant sections in the handbook/knowledge base (and highlight if anything is missing)
Whilst there are various defined roles and responsibilities (see below), there are optional duties that can be done by all directors. These include:
Facilitate an operations' meeting
- Gather the reports/feedback from the relevant people (last month’s finances, classes feedback etc)
- Lead attendees through the agenda
- Take minutes or have someone take minutes - then post them on the Loomio forum afterwards
- Tag anyone with actions that came up in the meeting if they weren’t in attendance
Attend a directors' meeting
- Directors' meetings are currently intended to run quarterly, and need a minimum of 3 directors for any decisions to be taken.
